OEM License Agreement and Limited Warranty
This is a legal agreement between you, the "OEM Vendor", and Emmanouil Kanellopoulos (Santesoft) ("the author"). By installing or using the product (the "SOFTWARE"), you indicate your complete and unconditional acceptance of these terms and conditions. If you do not agree to the terms and conditions of this agreement promptly remove the SOFTWARE from your computer and destroy the associated documentation.
Copyright
The SOFTWARE is owned by the author and is protected by European Union copyright laws and international treaty provisions. All rights in the SOFTWARE including copyrights, licensing rights, patents, trademarks, trade secrets, design rights, engineering rights, moral rights, and any other intellectual property rights belong to author. These rights are not transferred as part of this agreement.
Grant of License
OEM License - The OEM License authorizes the use of the SOFTWARE by the OEM Vendor or the OEM Vendor?s employees, on unlimited number of computers.
The author hereby grants the OEM Vendor non-exclusive right to bundle the SOFTWARE with its software, applications and services, and distribute it to unlimited number of third party users. All other rights not expressly granted are reserved by the author.
The OEM Vendor may not modify, translate, disassemble, decompile, reverse engineer, or create derivative works based upon the SOFTWARE.
The OEM Vendor may store one or more copies of the SOFTWARE offline, on secondary storage media (i.e. tape, diskette, CD-Rom) for backup purposes.
The SOFTWARE or the use of the SOFTWARE may be subject to legal or regulatory provisions related to products used in the Health Care Industry. Prior to using the SOFTWARE, it is OEM Vendor?s responsibility to ensure that the use of the SOFTWARE will not violate any legal or regulatory provisions.
The use of the SOFTWARE is intended only for use with properly authorized content. Content files, including, but not limited to images, which are viewed using the SOFTWARE, may be protected by copyright laws or other laws of any jurisdiction and are used at the OEM Vendor?s own risk.
Disclaimer of Warranty
This SOFTWARE is provided "AS IS", without warranty of any kind.
The entire and exclusive liability and remedy for breach of this limited warranty shall be limited to replacement of defective media or documentation and shall not include or extend to any claim for or right to recover any other damages, including but not limited to, loss of profit, data, or use of the SOFTWARE or special, incidental or consequential damages, or other similar claims, even if the author has been specifically advised of the possibility of such damages. In no event will the author's liability for any damages to the end user or any other person ever exceed the lower of the list price or the actual price paid for the license to use the SOFTWARE, regardless of the form of the claim.
THE AUTHOR SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, REPRESENTATIONS, OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL OTHER IMPLIED TERMS ARE EXCLUDED.
Specifically, the author makes no representation or warranty that the SOFTWARE or documentation are "error-free", or meet any end user's particular standards, requirements, or needs. The SOFTWARE is not intended to replace the skill and judgment of a qualified medical practitioner and should only be used by people that have been appropriately trained in the SOFTWARE?s functions, capabilities and limitations. OEM Vendor agrees to hold harmless, indemnify and defend author from and against any losses, damages, fines and expenses (including attorneys' fees and costs) arising out of or relating to the use of the SOFTWARE. THE ENTIRE RISK ARISING OUT OF THE OEM VENDOR?S USE OF THE SOFTWARE AND DOCUMENTATION REMAINS WITH OEM VENDOR.
Technical Support
The author offers free technical support ("SUPPORT") for SOFTWARE?s lifetime on all licensed software products. SUPPORT is available via electronic mail only. All SUPPORT requests must be submitted in English. The provision of SUPPORT does not imply or guarantee that reported faults or errors in the SOFTWARE will be corrected.
Product Updates
The author offers free updates for SOFTWARE?s lifetime on all licensed software products.
Termination
This Agreement and the OEM Vendor?s license to use the SOFTWARE will automatically terminate without notice if the OEM Vendor fails to comply with any provision of this Agreement. Upon termination the OEM Vendor must stop to bundle and distribute the SOFTWARE. All disclaimers of warranties and limitation of liability set forth in this Agreement shall survive any termination of this Agreement.
Governing Law
This Agreement shall be governed by the laws of the Hellenic Republic (Greece).
